Howdy. My name is KEN and I have a dream that I am trying to turn into a reality! I have formed a new corporation in the great State of California with the task of designing, developing, maintaining, promoting and ultimately preserving, indefinitely, the Pioneertown Preservation Park Project: a cemetery unlike any other in the world!
The Pioneertown Preservation Park Project (P4) will harvest all of the greatest past and present internment designs and technology to allow for maximum use of both space and resources. In addition to this, the P4 will also incorporate a revolutionary long-term cemetery financing plan by offering, from the start, amenities which present day cemeteries are only starting to offer.
In correlation with the numerous potential non-traditional amenities that P4 will offer, this necropolis will have a goal unlike many modern day burial grounds: the celebration and preservation of life, both before and after death. Think of a Cemetery that also acts like a community center. Well- that’s exactly what P4 is going for!
A Community Meeting was held at Pioneertown in September of 2o18 to propose the idea to residents. Responses gathered from that meeting and the town's social media page are slightly conflicting; but show a majority of residents and shop owners are interested in seeing the project completed.
I had originally tried to seek out a non profit status for the project in order to qualify for grants, tax breaks and most importantly public funding. The biggest hurdle P4 faced with that plan was simply the act of combining the Cemetery and the Community Center. The Attorney General will grant a 5o1(c)(3) status if we want to be a Community Center corporation and a 5o1(c)(13) status if we want to be a Cemetery corporation. P4 wants to be both. And a nonprofit Corporation can’t engage simultaneously in a 5o1(c)(3) exempt activity and in an activity that is exempt under a different subsection of Section 5o1(c).
As a practical matter, this problem rarely occurs; but the P4 project is an exception. That being said, there are a few terribly impractical ways to get around that predicament. We could establish two separate corporations, one for the cemetery and one for the community park, seek non profit status for both, and then work collectively to see the project through. We could take all the necessary steps to achieve a 5o1(c)(13) status, maintain the cemetery half of the park and then work with already existing local non profit organizations to maintain the community center half of the park. But that would be an insanely complicated project with plenty of additional hurdles for everyone involved.
The amount of work that would go into getting P4 a non profit status is impractical. That is to say that it is highly unlikely that P4 would even qualify without having to first be gutted. But that seems for the best, as the process has been quite a learning experience. P4 is now what it needs to be: a C Corporation! This level of incorporation offers the best benefits for P4 and everyone who lives in or visits the Morongo Basin. As a cemetery corporation, we can take advantage of Perpetual Care Funds and Trusts that are only available to cemeteries; a wonderful perk in lieu of a non profit status.
An initial perk would be the creation of around 5 - 1o new permanent jobs & countless other temporary positions right here in Pioneertown. Another perk would be the overall boom in attention that area would surely gain while we promote P4.
Instead of capitalizing this cemetery by seeking grants and donations, as we would with a non profit status, I have incorporated as a C Corporation in California and nailed down a diehard business plan that best for everyone! A startup company such as P4 can authorize up to 1o,ooo,ooo shares of common stock. Many experts suggest starting with 1o,ooo; but companies can authorize as little as one share or as many as 1o,ooo,ooo. As a rough example, if P4 sells common stock at $1o a share and offers 1,ooo,ooo shares to the public- we could end up with $1o,ooo,ooo in public capitalizing, before expenses.
This offer could take years to really pay off and many corporations typically start simple, by first marketing their shares to their friends, family and to anyone who has an obvious interests in the project. But some corporations seek a much broader source of capitalization.
As a startup company with very little capital, just an amazing idea/plan, it would be very hard to assure the sales of enough stock to fund P4 via a stock option offer. Furthermore, the idea is to establish this park for the people of Pioneertown and ideally, to have it owned and operated by local residents; not just outside investors. So, P4 has set up other long-term plans to find its initial capitalization before we seek out private investors.
P4 is currently collaborating with people who might be interested in getting involved. If you find yourself reading this presentation, then I believe that you might be interested in getting involved with P4. It doesn’t matter if you have a professional skill to offer, helpful criticism, an opinion (good or bad), if you want to join the Board of Directors, if you’d simply like to become part of the initial Partnership, if you can help advertise, if you can recommend a good legal aid or source of legal information, if you’re interested in becoming a future stockholder with 1,ooo+ shares or if you might only purchase a single $1 common stock share. . . even if you just want to know more about P4. . .

This website is simply a rough sketch of P4’s prospectus. It was mainly setup to help others understand what I have planned for the project so far, where I’m coming from as its creator, what I’d like to see happen and how much work/help it will entail. While there is still an enormous amount of research, footwork, paperwork and even more research left to do- the information in this presentation was gathered after a great deal of diligent research and can be viewed as more than just loosely accurate.

DOWN TIME IS NO GOOD FOR ANY BUSINESS IN PIONEERTOWN.
SHORT TERM RENTERS IN PIONEERTOWN END UP SPENDING THE MAJORITY OF THEIR MONEY DOWN THE HILL. WITH LITTLE TO OFFER ASIDE FROM FOOD & SHOPPING, STRs END UP STAYING IN PIONEERTOWN WHILE THE MAJORITY OF THE TOURIST GENERATED REVENUE THEY BRING GOES TO THE CITIES BELOW.
A FEW HUNDRED RESIDENTS WOULD ENJOY HAVING MORE THINGS TO DO & MORE AMENITIES OFFERED UP HERE IN PIONEERTOWN.
THOUSANDS OF VISITORS EACH YEAR COULD ALSO BENEFIT FROM THE SAME ADDITIONS WHILE BRINGING MORE BUSINESS INTO PIONEERTOWN.
THIS PLACE IS VERY SPECIAL TO A GREAT MANY PEOPLE. IT WOULD BE AMAZING IF ONE COULD ACTUALLY PLAN TO BE LAID TO REST HERE, WHEN THEIR TIME COMES. THE OPTION TO RESIDE HERE INDEFINITELY SHOULD BE AVAILABLE.
